These Terms of Service (the "Terms") govern your use of the Glacier app and website (together, "Glacier", the "platform", or the "Service"). By creating an account or using the Service, you agree to these Terms. If you do not agree, please do not use the Service.

Who we are

Glacier is operated by the entity named in the header of this document (referred to in these Terms as "we", "us", or "our"). Glacier is a marketplace that connects people: Members who want to attend events and book sessions, and Pros who host events and offer bookable services. The Service lets people discover each other, arrange to meet for events or one-to-one bookings, communicate, and pay.

We provide the platform that introduces people and handles scheduling, messaging, and payment. We are not ourselves the host of any event or the provider of any booked service. The relationship those things create is between the people involved, as described in "The marketplace" below.

Eligibility

You must be at least 18 years old to use Glacier. The Service arranges in-person meetings between adults and processes payments, and it is not intended for anyone under 18. By using the Service you confirm that you are 18 or older, that the information you give us is true, and that you are able to enter into a binding agreement with us.

You are responsible for making sure your use of Glacier is lawful where you are. The Service is available to people around the world, but some features may not be available or appropriate in every place.

Your account

You need an account to use most of Glacier. You agree to keep your account details accurate and up to date, to keep your login credentials secure, and not to share your account with anyone else. You are responsible for activity that happens under your account, except to the extent it results from our failure to keep the Service secure.

Tell us promptly if you believe someone has used your account without permission. You can reach us through the Contact section below. You may close your account at any time using the account deletion tools in the app. Some information may be retained after closure where the law requires it, as explained in our Privacy Policy.

Roles on Glacier

Glacier recognises different roles. The same person can hold more than one of them over time, but not the Member and Pro account types at the same time. You can switch between them, and you are one or the other at any given moment.

- A Member discovers and attends events, and books sessions with Pros. - A Pro hosts events and offers bookable services, and may receive payments through the platform. A Pro can also do everything a Member does, including discovering and attending other people's events, booking sessions with other Pros, and following and messaging other people. - As the operator, we run the platform, set and enforce these Terms, and act as an intermediary between the people who use it.

Some features, obligations, and fees apply differently depending on your role. Where a clause in these Terms is addressed to Pros, or to people who take payment, it applies to you when you are acting in that capacity.

Acceptable use

You agree to use Glacier honestly and to treat other people on the platform with respect. In particular, you agree not to:

- break any law, or use Glacier to arrange or promote anything unlawful; - harass, threaten, deceive, impersonate, or endanger another person; - post content that is false, misleading, hateful, obscene, or that infringes someone else's rights; - attempt to move payment for a Glacier booking off the platform in order to avoid fees, undermine the protections the platform provides, or evade a suspension; - interfere with, probe, or place undue load on the Service, or attempt to gain access to accounts, data, or systems you are not entitled to; or - misuse the platform's features to obtain a benefit we did not intend to provide, as described in "Good-faith use and enforcement" below.

These rules protect the people who use Glacier in good faith. Breaking them may lead to the remedies set out in "Suspension and termination".

Your content

You keep ownership of the content you create on Glacier, including your profile information, event and listing details, photos, messages, and reviews (your "Content"). You are responsible for your Content and for making sure you have the rights to post it.

You grant us a non-exclusive, worldwide, royalty-free licence to host, store, display, reproduce, and adapt your Content so far as is reasonably needed to operate, promote, and improve the Service. This licence lasts only as long as needed for those purposes, and it ends when your Content is removed, except for copies retained in backups or where the law requires us to keep records.

We may remove Content that breaches these Terms or the law, or that we reasonably consider harmful to other people on the platform. We are not obliged to monitor Content, but we may do so.

The marketplace

Glacier introduces people and helps them arrange and pay for events and bookings. When a Member attends an event, or books a session with a Pro, the agreement to provide and receive that event or service is between those people. We are not a party to it.

This means the Pro or host is responsible for the event or service they provide, including its quality, safety, suitability, and description, and for holding any licences, insurance, or qualifications the law requires of them. Members are responsible for deciding whether an event or service is right for them and for their own conduct and safety when they attend.

We do not verify every claim in a listing or profile, and a badge, rating, or verification marker is information to help you decide, not a guarantee from us. Use your own judgement, especially when meeting someone in person for the first time. Nothing in this section limits the consumer guarantees described in "Your consumer rights".

Payments and commission

Payments on Glacier are processed by our third-party payment providers. When you make a payment, you authorise that provider and us to charge the amount shown, including any applicable taxes and fees, to your chosen payment method.

For paid events and bookings, we may deduct a commission from the amount a Pro receives, and we may charge service or processing fees. The fees that apply, and the amount a Pro will receive, are shown before a transaction is completed. We may change our fees from time to time, and changes apply to transactions made after the change takes effect.

Pros are responsible for their own tax obligations on the money they earn through the Service. We may withhold, reverse, or set off amounts as described in these Terms, including in "Refunds and cancellation" and "Good-faith use and enforcement".

Refunds and cancellation

Each event or booking may carry its own cancellation and refund terms, set within the limits the platform allows and shown to you before you pay. Please read them before you commit, because they govern what happens if you or the other person cancels.

Where a refund is due, we will process it to your original payment method through our payment provider. Some fees may be non-refundable where this is permitted by law. If an event or booking is cancelled by the host or Pro, or does not take place, you may be entitled to a refund under the applicable cancellation terms or under the consumer guarantees described in "Your consumer rights".

Nothing in this section reduces any right to a refund or remedy that you have under the Australian Consumer Law or other law that cannot be excluded.

Disputes

If something goes wrong with an event or booking, we encourage you to first raise it with the other person through the platform, because they are the party responsible for the event or service. Many issues are resolved quickly this way.

If that does not resolve it, you can contact us. Where appropriate, we operate a dispute process that aims to reach a fair outcome, and which prefers non-cash resolutions where they are available, such as offering a replacement place, a credit, or a comparable session, before considering a monetary remedy. In reaching a decision we may take account of the platform's records, such as attendance, payment status, and reputation information. We do not monitor or routinely read the private messages you exchange with other people. Where messages are relevant to a dispute, we rely on what the people involved choose to share with us, and we access private communications only where it is necessary to investigate a safety concern, prevent abuse, or meet a legal obligation.

Our role in a dispute is that of an intermediary trying to help, not a court, and our involvement does not remove your legal rights or make us a party to the underlying agreement between you and the other person.

Reputation and conduct

Glacier keeps reputation information, such as attendance records and no-show history, to help people trust each other on the platform. You agree that we may record and display this information in line with how the feature is described in the app.

If you fail to turn up to something you committed to, cancel repeatedly at short notice, or otherwise act in a way that harms other people's experience, this may affect your reputation on the platform and may lead to the remedies in "Suspension and termination". You agree not to manipulate reputation information, whether for yourself or anyone else, including by coordinating between accounts or creating false records.

Good-faith use and enforcement

This section is important. It is about using Glacier as it is meant to be used, and what we may do if someone tries to exploit the platform. It sits alongside the consumer guarantees described in "Your consumer rights", and it does not reduce or override them.

How Glacier is meant to be used. Glacier is provided for genuine hosting, attending, booking, and paying between real people. The platform's quotas, limits, prices, reputation counters, refund windows, and similar controls exist to make that work fairly for everyone. Using these features for their ordinary purpose is exactly what the Service is for. What is not permitted is obtaining, or attempting to obtain, a benefit that the platform was not designed to provide, whether through a defect, an error, unintended automation, the manipulation of counters or limits, or coordination between accounts.

If you find a defect, tell us. If you discover a fault, error, or loophole in the Service that would let you gain a benefit the platform did not intend, for example extra credit, a payment you are not owed, access you should not have, or a bypass of a limit, you agree to stop using it and to report it to us promptly by emailing our support team, whose address is set out in the Contact section below. We treat good-faith reporting as a positive thing, not a reason to act against you. If you report a defect in good faith, we will not penalise you for having found it, and we will not penalise you simply because you happened to trigger the defect before you realised what it was. This safe harbour is a genuine protection for honest reporters.

What we may do. Where someone obtains or attempts to obtain an unintended benefit, we may respond, and our response is a matter of discretion, not an automatic penalty. We may choose to do nothing more than quietly fix the fault. Depending on the circumstances we may instead reverse or void the unintended benefit, withhold or claw back amounts through the platform's owed-back ledger, restrict access to features, suspend the account, or terminate and ban it. In deciding what, if anything, to do, we will act proportionately, taking into account whether the conduct was deliberate, whether it was repeated, whether it was concealed from us, and whether it caused loss to another person on the platform. If we choose not to act on a particular occasion, that does not prevent us from acting on the same or similar conduct later, and no delay or inaction is a waiver of our rights.

Money. We may reverse, void, withhold, or set off against future payouts any amount that arises from a defect, a pricing error, a duplicate charge or payout, or manipulation of the Service, and we may suspend a payout while we investigate. We will not, however, claw back funds from a person who received them legitimately for a genuine event or service simply because someone else exploited the platform. An honest participant who was paid for real work is protected from another person's misuse.

The purpose of this section is to record, in advance, a fair basis for us to act when the platform is exploited. It is not a shield for our own faults or negligence, it does not override the consumer guarantees you cannot contract out of, and it largely restates the law that already applies to mistakes and to benefits obtained without a proper basis. Its value is that we have written it down and agreed it with you before anything goes wrong.

Suspension and termination

We may suspend, restrict, or terminate your access to Glacier, or remove your Content, if you breach these Terms, if we are required to by law, or if we reasonably consider it necessary to protect other people, the platform, or ourselves from harm. Where it is reasonable and lawful to do so, we will give you notice and a chance to respond, but some situations, such as a risk to safety or an ongoing exploit, may call for immediate action.

You may stop using Glacier and close your account at any time. Terms that by their nature should survive the end of your use, including those on Content licences, payments already owed, liability, consumer rights, good-faith use, governing law, and assignment, continue to apply after your account ends.

Liability

Nothing in these Terms excludes, restricts, or modifies any right or remedy, or any guarantee, warranty, or other term, that the law, including the Australian Consumer Law, says cannot be excluded, restricted, or modified. The following limits apply only so far as the law allows.

Glacier is provided on a reasonable efforts basis, and we do not promise that it will always be available, uninterrupted, or free of errors. Because we introduce people but are not a party to the events and services arranged through the platform, we are not responsible for the acts, omissions, conduct, or safety of any Member, Pro, or host, or for the quality, safety, or legality of any event or service they provide.

To the extent the law allows, we are not liable for indirect or consequential loss, or for loss you could have avoided by taking reasonable care. Where our liability cannot be excluded but can be limited, our total liability to you is limited, at our option, to resupplying the affected part of the Service or paying the cost of having it resupplied, or to the total fees you paid us for the Service in the twelve months before the event giving rise to the claim.

Because the operator identified in the header is currently an individual rather than a company, the person a user contracts with is that individual. This does not change your rights under these Terms or under the law.

Your consumer rights

If you are a consumer under the Australian Consumer Law, or under similar consumer protection law that applies to you, our goods and services come with guarantees that cannot be excluded. You may be entitled to a replacement or refund for a major failure, to compensation for other reasonably foreseeable loss or damage, and to have a problem fixed within a reasonable time if it is not a major failure.

Nothing in these Terms operates to exclude, restrict, or modify those guarantees or any other rights you have under law that cannot be excluded. Where any part of these Terms would do so, that part does not apply to you to that extent, and the rest of these Terms continues to apply.

Changes to these terms

We may update these Terms from time to time, for example to reflect changes to the Service, our fees, or the law. When we make a material change, we will take reasonable steps to let you know, such as by notice in the app or by updating the version and effective date shown at the top of this document.

Changes take effect from the date we publish them, or from a later date if we say so. If you keep using Glacier after a change takes effect, you accept the updated Terms. If you do not agree with a change, you should stop using the Service and may close your account.

Governing law

These Terms are governed by the laws of New South Wales, Australia. You and we submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts able to hear appeals from them. If you use Glacier from outside Australia, this choice of law does not take away the protection of any mandatory consumer law of the place where you live that applies to you and cannot be excluded by agreement.

Assignment

You may not transfer your rights or obligations under these Terms without our consent. We may transfer, assign, or novate our rights and obligations under these Terms to another entity, including to a company or other successor that takes over the operation of Glacier, for example if the business is later incorporated or restructured. If we do, your agreement continues on the same terms with the new entity, and we will let you know of the change. This lets the business change its structure without you having to accept these Terms again, and it does not reduce your rights.
